The Objects and Rules of Kapiti
Live Music Club Incorporated (KLMC) The objects of KLMC 1.
To support and educate musicians in the development of their live music
performance skills. The
Rules of KLMC A persons or organisations, shall become a member of KLMC by submitting a completed and current application form with payment of any due subscription to the Secretary. A person or organisation shall cease to be a member upon either; a)
Resignation in writing. The rules of the club can be altered by a majority vote of the members at any Annual General Meeting or Special General Meeting. a) Scheduling of any Special General Meeting or Annual General Meeting will be determined by the Committee and notification will be sent to all members via email or post no later than 2 weeks prior to the date of the meeting. Notification for any Committee Meeting will be sent to all Committee members via email or post no later than 1 week prior to the date of the meeting. b) All meetings shall be chaired by the Chairperson, or in their absence, a member of the Committee in which case the Chair shall be determined by the members of the Committee. c) The quorum for a Special General Meeting or Annual General Meeting shall be 8 financial members. All members have one vote each and the majority will determine the outcome of any motion put to the vote. The quorum for a Committee Meeting shall be 66% of the total number of Committee members. All Committee members shall have one vote. a) The Chairperson and Committee responsible for the running of KLMC will be elected from the current membership at an Annual General Meeting or a Special General Meeting. b) The Committee and Chairperson shall together comprise a minimum of 3 people. The elected Committee shall appoint a Secretary and Treasurer. 6. Duties and Responsibilities of Officers a) The Chairperson shall provide leadership for KLMC, convene meetings and ensure that the rules and objects are adhered to. b) The Treasurer keep proper financial records, to bank all money received by KLMC; to pay all accounts, to prepare annual accounts, and to file the annual accounts with the Registrar of Incorporated Societies. c) The Secretary keep a register of members, keep minutes of all meetings, and keep the common seal of the Society in safe keeping. 7. Control and use of the common seal The common seal shall be utilised on any written contract involving a sum equal to or greater than $1,000.00 between KLMC and any other party. Use of the common seal must be authorised by a written resolution resulting from a General or Committee Meeting. 8. Control and investment of KLMC funds. KLMC, through the decisions of the Committee may invest in such securities and on such terms as it sees fit, any part of its funds that are not required for immediate running of KLMC. KLMC, through the decisions of the Committee may borrow money as needed on such terms as it sees fit. 9. How KLMC’s property will be distributed if it is wound-up or dissolved. In
the event that KLMC is wound-up or dissolved, any surplus assets of the
club will be donated to other clubs or societies with similar objects,
as determined by the members.
